#POWERDESIGNER COMMAND LINE EXPORT LICENSE#
“Support Services” means any services provided by Intel in connection with or related to the Deliverables.\ġ.1 Subject to the terms and conditions of this Agreement, Intel grants to Licensee a non-transferable and non-sublicensable (except as expressly set forth herein), non-exclusive, perpetual, royalty-free, and world-wide license to use the Licensed Software as described in this Section 1. “Licensed Software” means the software, as specified above. “Licensed Product(s)” means Intel Devices into which the Licensed Software has been incorporated pursuant to the terms of this Agreement. or international intellectual property, unfair competition, or trade secret laws. “Intellectual Property” means all rights in and to intellectual property including, but not limited to, patents, copyrights, authors’ rights, trademarks, trade names, trade secrets, know-how, inventions, invention disclosures, improvements, proprietary information, technology, algorithms, techniques, methods,ĭevices, technical data, customer lists, and all documentation embodying or evidencing any of the foregoing, irrespective of whether such rights arise under U.S.
#POWERDESIGNER COMMAND LINE EXPORT CODE#
“Deliverables” means (a) the applicable Licensed Software in source code or encrypted format (as designated above), (b) any format test benches (if applicable) and/or suite of test vectors (if applicable), and (c) product/user documentation (if applicable) relating to the Licensed Software as set forth and No competitor of Intel shall be a Contractor.
“Contractor” means a company, corporation, or other entity that (a) provides services to Licensee for assisting in the design, testing, and integration of the Licensed Software into Licensee designs solely for implementation within Intel Devices and (b) that is subject to a written confidentiality agreement protecting Intel’s Confidential Information with restrictions no less restrictive than those contained in this Agreement. “Confidential Information” means any business, marketing, technical, scientific, or other information disclosed which, at the time of disclosure, is designated as confidential (or like designation), is disclosed in circumstances of confidence, or would be understood by a person, exercising reasonable business judgment, to be confidential. “Intel Devices” means field programmable gate arrays, complex programmable logic devices, structured ASIC devices, Enpirion devices, and any other semiconductor devices designed by and/or manufactured by or on behalf of Intel Corporation or its subsidiaries. IF YOU HAVE RECEIVED A COPY OF THE LICENSED SOFTWARE ON DVD OR OTHER MANNER THAN ELECTRONIC DOWNLOAD, PLEASE RETURN THE LICENSED SOFTWARE UNUSED TO INTEL OR THE AUTHORIZED DISTRIBUTOR FROM WHICH YOU OBTAINED THE LICENSE PROMPTLY.ĭefinitions: For the purposes of this Agreement, the following definitions shall apply: IF YOU HAVE ALREADY DOWNLOADED THE LICENSED SOFTWARE, PLEASE UNINSTALL IT AND IRREVOCABLY DESTROY ANY COPIES YOU HAVE MADE AS SOON AS POSSIBLE.

IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT DOWNLOAD, COPY, INSTALL OR USE THE LICENSED SOFTWARE. INCONSISTENCY BETWEEN THE TERMS OF THE AGREEMENT AND YOUR AGREEMENT WITH AN AUTHORIZED DISTRIBUTOR, THIS AGREEMENT WILL GOVERN AND CONTROL, EXCEPT WITH REGARDS TO PAYMENT TERMS. BY: (A) DOWNLOADING, INSTALLING, COPYING OR USING THE LICENSED SOFTWARE OR (B) PAYING A LICENSE FEE OR OTHER FEE TO INTEL OR (C) PAYING A FEE TO AN AUTHORIZED DISTRIBUTOR, YOU INDICATE YOUR ACCEPTANCE OF THIS AGREEMENT.

PLEASE REVIEW THE FOLLOWING TERMS AND CONDITIONS IN THIS SOFTWARE LICENSE AGREEMENT (THE “AGREEMENT”) CAREFULLY BEFORE DOWNLOADING, INSTALLING OR USING THE LICENSED SOFTWARE.
